Recently someone asked me how the market for Management Buy Ins (MBI) is now. Good question, I really had to think about that.

Ten years ago, there were many people who were out of the organization and therefore sought their luck in a business takeover. You had to separate the good from the bad by asking the question whether the potential MBI wanted to buy a company or a job. In 2018 you do not have to ask that question anymore. Motivated and committed MBIers see opportunities and want to take action on the waves of a strongly attracted economy. This implies a much better market than ten years ago. Some nuance is in place.

Ten years ago we were dealing with a buyer’s market. SMEs had little reserves and could not (yet) present nice figures that justified a substantial takeover sum. Now it is the other way round: the salesperson sits in a chair with appealing results and even better prospects. In addition, there is a lot of money in the market to take over companies. Investors, private equity and strategic buyers all run around each other with well-filled bags filled with money, looking for beautiful opportunities.

What has remained the same, however, is that qualified management must run these companies. That may be the current management, but if this layer wants to exit, it means opportunities for MBI people. So if you have a clear plan as an MBI and you have the right competences and personal characteristics, then there are plenty of opportunities in this market. With some smaller companies, a full acquisition is possible, but the company is already more solid, I would bet on a purchase with a financial partner at your side. And there is nothing wrong with that: whoever can share, can for the time being multiply with confidence.

Onlangs vroeg iemand mij hoe de markt voor Management Buy Ins (MBI) nu is. Goeie vraag, daar moest ik echt even over nadenken.

Tien jaar geleden waren er veel mensen die binnen hun organisatie overtallig waren en daarom hun geluk zochten in een bedrijfsovername. Je moest het kaf van het koren scheiden door de vraag te stellen of de MBI’er-in-spé een bedrijf wilde kopen of een baan. Anno 2018 hoef je die vraag niet meer te stellen. Gemotiveerde en gecommitteerde MBI’ers zien kansen en willen ondernemen op de golven van een sterk aangetrokken economie. Dit impliceert een veel betere markt dan tien jaar geleden. Enige nuance is op zijn plaats.

Tien jaar geleden hadden we te maken met een kopersmarkt. MKB bedrijven hadden weinig vet op de botten en konden (nog) geen mooie cijfers overleggen die een flinke overnamesom rechtvaardigden. Nu is het omgekeerd: de verkoper zit in een zetel met aansprekende resultaten en nog mooiere vooruitzichten. Daarnaast is er heel veel geld in de markt om bedrijven over te nemen. Investeerders, private equity en strategische kopers draaien allemaal met goed gevulde zakken om elkaar heen, op zoek naar mooie buitenkansjes.

Wat echter hetzelfde is gebleven, is dat deze bedrijven gerund moeten worden door gekwalificeerd management. Dat kan het zittende management zijn, maar wanner deze laag juist wil uittreden, betekent dat kansen voor MBI’ers. Heb je als MBI’er dus een helder plan en beschik je over de juiste competenties en persoonlijke eigenschappen, dan zijn er voldoende mogelijkheden in deze markt. Bij wat kleinere bedrijven behoort een volledige overname tot de mogelijkheden, echter is het bedrijf al wat steviger van aard, dan zou ik inzetten op een aankoop met een financiële partner aan jouw zijde. En daar is niets mis mee: wie kan delen, kan voorlopig met vertrouwen vermenigvuldigen.
